1. Parties

The website www.stradogroup.be (hereinafter referred to as the "Site") is the property of Strado Group BV (hereinafter referred to as "Strado Group" or the "Data Controller"), with its registered office at Meersstraat 13, 2.1, 8790 Waregem.

The term "User" refers to any user, whether a natural person or legal entity, who visits the Site or interacts with it in any way.

2. Access to the website

The User shall provide the necessary personnel and IT resources to ensure connectivity to the Site. The User remains solely responsible for the resources and personnel used for this purpose.

Access to the Site is permitted only upon acceptance of these Terms of Use, which Strado Group may modify at any time by posting notices of amendment or links to such notices directly on the Site.

Such notices may also be sent to the User by e-mail or by post. These additional rules and guidelines shall be deemed an integral part of these Terms and Conditions. Users are therefore advised to consult the latest version of these terms regularly. They are always available at: www.stradogroup.be.

3. Prohibited actions

When using the Site, the User is expressly prohibited from:

  • Displaying, downloading, transmitting, e-mailing or otherwise distributing any content that is unlawful, harmful, threatening, misleading, harassing, defamatory, vulgar, obscene, invasive of another person's privacy, hateful, racist or otherwise objectionable;
  • Uploading viruses or other harmful files;
  • Accessing, displaying, downloading or transmitting content that violates applicable international laws;
  • Attempting to attribute wrongdoing to another User by unlawfully assuming another person's name or company name;
  • Downloading, displaying, transmitting, e-mailing or otherwise distributing content that infringes any patent, trademark, trade secret, intellectual property right or other proprietary right belonging to another party;
  • Downloading, displaying, transmitting, e-mailing or otherwise distributing advertising or unsolicited or unauthorised promotional material, including spam, junk mail, chain letters or any other form of solicitation;
  • Downloading, displaying, transmitting, e-mailing or otherwise distributing content containing computer viruses or any other code, file or program designed to interrupt, destroy or limit the functionality of software, computers or telecommunications equipment;
  • Taking actions that disrupt other Users' access to the Site or compromise the security of the Site;
  • Using or attempting to use another person's account, password or system without authorisation from Strado Group;
  • Interfering with or disrupting the service, servers or connected networks, or failing to comply with the requirements, procedures, policies or regulations applicable to networks connected to the Site;
  • Harassing one or more Users in any manner;
  • Collecting or storing personal data relating to other Users.

4. Indemnification

Strado Group warrants that the elements, services and functionalities made available to the User, when used according to the provided instructions, substantially comply with generally accepted standards and that the software and all elements made available to the User respect third-party rights and are generally lawful.

Strado Group is subject to an obligation of best efforts. Under no circumstances shall Strado Group be liable for any direct or indirect damages suffered by the User in connection with the use of the Site and/or its content.

The User shall indemnify Strado Group against all claims arising from:

  • Loss of opportunities or business income related to the operation, non-operation, use or non-use of the Site or its content;
  • Illegal and unauthorised intrusion into the Strado Group web server or Site by third parties;
  • Introduction of computer viruses into the Strado Group web server or Site;
  • Temporary bandwidth congestion;
  • Interruption of internet connectivity for reasons beyond Strado Group's control.

5. Interruption of access to the site

Strado Group reserves the right, at any time and for any reason, to modify, suspend or discontinue access to the Site, in whole or in part, either temporarily or permanently, without prior notice to the User.

This may occur, for example, in the event of Site maintenance or significant changes to the services and/or functionalities offered. Strado Group shall not be liable for any direct or indirect damage arising from any modification, suspension or termination of access to the Site, regardless of the reason.

6. Liability

Strado Group exercises the utmost care in the design and maintenance of this Site. Strado Group ensures that every reasonable effort is made and every precaution is taken to ensure that the information provided on the Site is as accurate, reliable and up to date as possible. However, Strado Group does not guarantee the accuracy, completeness, suitability or timeliness of the information made available and shall not be responsible for any decision or action taken by the User on the basis of the information provided. Strado Group is not obliged to keep the information up to date.

The User acknowledges that the information provided may be modified without prior notice. Strado Group shall not be held liable for the content of this Site or for any use made of it. Under no circumstances shall Strado Group be liable for any malfunctions, interruptions or technical defects affecting the Site.

Strado Group provides no warranties regarding the proper functioning of the Site and shall in no way be liable for any malfunction, temporary or permanent unavailability of the Site, or any damage resulting directly or indirectly from access to or use of the Site. The content of the Site, including any links, may be removed, modified, amended, supplemented or taken offline, in whole or in part, at any time and without prior notice.

Under no circumstances shall Strado Group be liable to any party for direct or indirect damage resulting from the use of this Site, the information made available through this Site, or any other website to which this Site may provide a link.

In no event shall Strado Group be liable for consequential damages, loss of profits, business interruptions, damage to programs or other data stored on the User's computer system, or damage to the User's hardware, software or other assets.

Strado Group may provide a link ("hyperlink") to another website, such as a corporate website, blog, portal or social network, that may be of interest to the User, or it may indirectly refer to third-party websites or web pages. Such links are provided for informational purposes only. Strado Group assumes no responsibility for the content of such websites or for any use that may be made of them. Strado Group declares that it has no control over the content or any other characteristics of these websites. By following these links, the User leaves this Site and accesses external websites that may be governed by different privacy and security policies. Strado Group cannot guarantee the proper functioning of such links.

The fact that another website contains a link to this Site does not imply that Strado Group approves of or recommends the products, services or information offered on that website. Nor does Strado Group provide any assessment regarding the accuracy or reliability of information made available on such websites.

Strado Group may also make content from external sources, including social media platforms, available to Users. Such content originates from third parties and, consequently, Strado Group assumes no responsibility whatsoever for the content of those external sources, even when such content is merely made available through the Site.

Strado Group shall not be liable for any damage resulting from the content or characteristics of other websites.

7. Copyright

The User is granted a licence to use the Site and its content. This licence is transferable and exclusively limited to personal and informational use for an unlimited period of time.

The information, logos, drawings, trademarks, models, slogans, graphic materials and other content accessible through the Site are protected by intellectual property rights and/or industrial property rights. Unless expressly authorised by Strado Group and/or the relevant third party, the User may not modify, reproduce, rent, lend, sell, distribute or create derivative works based on all or part of the elements available on the Site.

Accordingly, it is prohibited for the User, and the User may not authorise any third party, to copy, modify, create derivative works from, reverse engineer, reverse assemble or otherwise attempt to discover the source code of the Site and its content, assign rights to it, sublicense it, or transfer any rights relating to the Site and its content in any manner whatsoever.

Privacy and cookie policy

1. Purpose

Strado Group has drafted this Privacy Policy for the purpose of transparently informing Users about the Site and, in this context, provides information on how personal data is collected and processed by Strado Group.

In its capacity as Data Controller, Strado Group determines all technical, legal and organisational means, as well as the purposes, for the processing of Users' personal data. Strado Group undertakes to take all necessary measures to ensure that the processing of personal data is carried out in accordance with the Act of 30 July 2018 on the protection of natural persons with regard to the processing of personal data (hereinafter the "Act") and Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, repealing Directive 95/46/EC (i.e. the General Data Protection Regulation or "GDPR") (hereinafter the "Regulation").

Strado Group is free to appoint a natural or legal person to process Users' personal data at its request and on its behalf (hereinafter the "Processor" or "Sub-processor"). Where applicable, Strado Group undertakes to select a Processor that provides sufficient guarantees regarding the technical and organisational (security) measures for the processing of personal data, in accordance with the Act and the Regulation.

2. Processing of personal data

The use of the Site by Users may result in the collection of personal data. The processing of such data by Strado Group, in its capacity as Data Controller, or by service providers acting in the name and on behalf of Strado Group, shall be carried out in accordance with the Act and the Regulation.

Personal data is processed by Strado Group, in accordance with the purposes listed below, through the following methods and in the context of the following situations:

  • Visiting the Site;
  • Collaborating with Strado Group;
  • Using the services of Strado Group, whether through the Site or otherwise, and whether via a mobile device or not;
  • Completing the contact form;
  • Corresponding with Strado Group or receiving correspondence from Strado Group (including by e-mail);
  • Requesting a quotation (including, but not limited to, quotations by e-mail or following a site visit);
  • Submitting a question through the Site;
  • Exchanging business cards;
  • Visiting company premises;
  • Subscribing to newsletters (whether via the Site or otherwise);
  • Scheduling an appointment;
  • Registering for events;
  • Verifying the identity of the User (for example, when contacting customer services);
  • Creating an account, monitoring consumption and/or entering data on the portal site or the Strado Group job website (stradogroup.be/en/jobs)
  • Performing and administering an agreement with Strado Group, including follow-up activities;
  • Responding to questions (whether submitted through a contact form or otherwise);
  • Optimising the quality, management and content of the Site;
  • Sending newsletters;
  • Statistical purposes;
  • Credit checks;
  • Preparing and sending quotations;
  • Following up after meetings;
  • Providing support and assistance (for example, in the event of technical issues);
  • Providing tailored optimisation and efficiency studies for Users (including product recommendations);
  • Sending targeted marketing communications, advertisements, updates and promotional offers based on communication preferences and following the User's explicit consent;
  • Conducting customer satisfaction surveys, questionnaires and other market research activities;
  • Possible mergers and acquisitions (M&A) transactions.

3. Purpose of the processing of personal data

Pursuant to Article 13 of the Regulation, the purposes of the processing of personal data are communicated to the User. These purposes include the following:

The processing is necessary for the performance of an agreement with Strado Group, including invoicing and delivery, or in order to take steps at the request of the User prior to entering into an agreement.

The provision of certain personal data is sometimes a condition for benefiting from specific services (for example, gaining access to certain sections of the Site, subscribing to newsletters, or participating in activities and events). In such cases, it will be indicated which data fields are mandatory and which are optional.

4. Personal data that may be processed

The User agrees that, during visits to and use of the Site, Strado Group may collect and process some or all of the following personal data:

  • First name;
  • Last name;
  • E-mail address;
  • Address;
  • Telephone number (landline and/or mobile);
  • Fax number;
  • VAT number;
  • Language;
  • Communication preferences;
  • Job title or function;
  • Social media data;
  • Date of birth;
  • Year of birth;
  • Billing address;
  • Company name;
  • Account name;
  • Password;
  • NACE code;
  • Salutation/title (gender);
  • IP address (including mobile IP addresses);
  • Any personal data included in the free-text fields of contact forms and/or appointment forms;
  • Any other personal data voluntarily provided to Strado Group (e.g. during correspondence);
  • Electricity consumption volumes and pricing data;
  • Metering data supplied by the network operator;
  • Records of the method, timing and content of contact interactions;
  • EAN code.

Strado Group also automatically collects anonymous information regarding the User's use of the Site. For example, Strado Group may automatically log which sections of the Site are visited, which web browser is used, and from which website the User accessed the Site. Based on this information, Strado Group cannot identify the User directly, but it enables Strado Group to compile statistics concerning the use of the Site.

Strado Group collects and processes such personal data in accordance with the conditions and principles described in this Privacy Policy.

5. Consent

By accessing and using the Site, the User declares that he or she has given free, specific, informed and unambiguous consent to the processing of his or her personal data. This consent relates to the contents of this Privacy Policy.

Such consent is an essential condition for carrying out certain activities on the Site or for enabling the User to enter into a contractual relationship with Strado Group. Any agreement concluded between Strado Group and a User concerning services and goods offered on the Site or by Strado Group is subject to the User's acceptance of this Privacy Policy.

The User agrees that the Data Controller, in accordance with the conditions and principles set out in this Privacy Policy, may collect and process the personal data provided by the User through the Site or in connection with the services offered by Strado Group for the purposes specified above.

The User has the right to withdraw this consent at any time. Withdrawal of consent shall not affect the lawfulness of processing carried out on the basis of consent before its withdrawal.

If the User no longer wishes to receive newsletters or information concerning Strado Group services and/or products, he or she may unsubscribe at any time by clicking the "unsubscribe" button included at the bottom of every e-mail sent by Strado Group.

6. Retention period for users' personal data

In accordance with Article 13(2) of the Regulation, Strado Group shall retain personal data only for as long as is reasonably necessary to achieve the purposes for which it is processed, except where a longer retention period is required or justified: (i) by law, (ii) for compliance with another legal obligation and/or (iii) for the proportionate protection of legitimate interests.

7. Disclosure of data and disclosure to third parties

Strado Group shall not disclose personal data to third parties except where such disclosure is necessary for the performance and/or continuation of an agreement and its optimisation, or where the User has provided consent. This includes, but is not limited to, the processing and/or collection of payments, maintenance activities, database management, the provision of goods and/or services, the installation of sold products, and the preparation of quotations.

In this context, the User's personal data may be disclosed to payment providers, software suppliers, cloud partners, data centres, subcontractors, service providers, IT consultants, financial institutions, transport partners, legal advisers and/or network operators.

Personal data may therefore be shared with Strado Group employees, collaborators, subcontractors, processors or suppliers, provided that adequate safeguards are in place to ensure the security of the data.

In such cases, the recipients of the data and the parties to whom the data is disclosed shall comply with the provisions of this Privacy Policy. Strado Group shall ensure that such parties process the data solely for the intended purposes and in a secure and confidential manner.

In all other circumstances, Strado Group shall not sell, rent or transfer personal data to third parties unless (i) it has obtained the User's prior and explicit consent; and (ii) it has entered into a data processing agreement with the relevant third party containing the necessary guarantees relating to confidentiality and the privacy-compliant processing of personal data.

8. Data Protection Officer

Strado Group has appointed a Data Protection Officer (hereinafter referred to as the "DPO").

The role of the DPO is to ensure compliance with national and supranational regulations concerning the collection and processing of personal data.

9. Rights of Users

Users may exercise their rights at any time by sending an e-mail to dpo@stradogroup.be or by sending a written request by post, accompanied by a copy of their identity card, to: Meersstraat 13, 2.1, 8790 Waregem.

a) Right of access

In accordance with Article 15 of the Regulation, Strado Group guarantees the User's right of access to his or her personal data.

The User has the right to obtain access to the following information:

  • The categories of personal data concerned;
  • The purposes for which the data is or has been collected;
  • The recipients or categories of recipients to whom the personal data has been or will be disclosed;
  • Where recipients are located in third countries or are international organisations, the appropriate safeguards in place;
  • Where possible, the envisaged retention period for the personal data or, if not possible, the criteria used to determine that period;
  • The existence of automated decision-making, including profiling, as referred to in Article 22(1) and (4) of the Regulation and, at least in such cases, meaningful information about the logic involved, as well as the significance and expected consequences of such processing for the User.

The Data Controller may charge a reasonable fee based on administrative costs for any additional copies requested by the User.

Where the User submits the request electronically (for example, by e-mail), the information shall be provided in a commonly used electronic format unless the User requests otherwise.

A copy of the requested data shall be provided within one month of receipt of the request at the latest.

b) Right to rectification

Strado Group guarantees the User's right to rectify personal data.

Pursuant to Article 16 of the Regulation, inaccurate, incorrect or irrelevant data may be corrected at any time. The User shall first make the necessary changes through his or her user account, unless such changes cannot be made independently, in which case the request may be submitted to Strado Group.

In accordance with Article 19 of the Regulation, the Data Controller shall notify each recipient to whom the personal data has been disclosed of any rectification of the personal data, unless doing so proves impossible or involves disproportionate effort. The Data Controller shall provide information about such recipients to the User upon request.

c) Right to erasure

The User has the right to obtain the erasure of his or her personal data without undue delay in the circumstances referred to in Article 17 of the Regulation.

Where the Data Controller has made the personal data public and is obliged to erase it pursuant to the foregoing paragraph, the Data Controller shall, taking account of available technology and implementation costs, take reasonable steps, including technical measures, to inform other controllers processing such personal data that the User has requested the deletion of any links to, copies of, or replications of such personal data.

The foregoing provisions shall not apply where processing is necessary:

  • For exercising the right of freedom of expression and information;
  • For compliance with a legal obligation requiring processing under Union or Member State law applicable to the Data Controller, or for the performance of a task carried out in the public interest or in the exercise of official authority vested in the Data Controller;
  • For the establishment, exercise or defence of legal claims.

In accordance with Article 19 of the Regulation, the Data Controller shall inform each recipient to whom the personal data has been disclosed of any erasure of personal data or restriction of processing, unless this proves impossible or involves disproportionate effort. The Data Controller shall provide information on such recipients to the User upon request.

d) Right to restriction of processing

The User has the right to obtain restriction of the processing of his or her personal data in the circumstances referred to in Article 18 of the Regulation.

In accordance with Article 19 of the Regulation, the Data Controller shall notify each recipient to whom the personal data has been disclosed of any restriction of processing, unless this proves impossible or involves disproportionate effort. The Data Controller shall provide information regarding those recipients upon request of the User.

e) Right to data portability

In accordance with Article 20 of the Regulation, Users have the right to receive their personal data from Strado Group in a structured, commonly used and machine-readable format.

Users have the right to transmit those data to another Data Controller without hindrance from Strado Group, where provided for under the Regulation.

Where the User exercises the right to data portability, the User shall have the right to have the personal data transmitted directly from one Data Controller to another, where technically feasible.

The exercise of the right to data portability shall be without prejudice to the right to erasure. This right shall not apply to processing necessary for the performance of a task carried out in the public interest or in the exercise of official authority vested in the Data Controller.

The right to data portability shall not adversely affect the rights and freedoms of others.

f) Right to object and automated individual decision-making

The User has the right, at any time, to object to the processing of his or her personal data, including processing based on automated means, on grounds relating to his or her particular situation.

In accordance with Article 21 of the Regulation, Strado Group shall cease processing personal data unless it demonstrates compelling legitimate grounds for the processing which override the interests, rights and freedoms of the User, or for the establishment, exercise or defence of legal claims.

The User also has the right at any time to object to the processing of personal data relating to him or her for direct marketing purposes, including profiling insofar as it is related to such direct marketing.

Where the User objects to processing for direct marketing purposes, the personal data shall no longer be processed for such purposes.

g) Right to lodge a complaint

The User has the right to lodge a complaint concerning the processing of his or her personal data by Strado Group with the Data Protection Authority competent for the Belgian territory. More information can be found at: https://www.dataprotectionauthority.be.

The User may also initiate cessation proceedings before the President of the Court of First Instance of his or her place of residence.

10. Security measures

Strado Group undertakes to implement appropriate and reasonable physical, technological and organisational security measures in order to prevent (i) unauthorised or unlawful access to personal data and (ii) the loss, misuse or alteration of personal data.

Strado Group shall store all personal data it has collected in cloud environments and in data centres located within the European Union.

Notwithstanding (i) Strado Group's security policy, (ii) the controls it carries out, and (iii) the measures it implements in this regard, an infallible level of security cannot be guaranteed. No method of transmission over the internet and no method of electronic storage is 100% secure. Consequently, Strado Group cannot guarantee absolute security.

Finally, the security of an account also depends on the confidentiality of the password and other account credentials. If the User discloses his or her password to a third party, that third party may gain access to the User's account and personal data by means of that password. In such circumstances, the User shall remain solely responsible for any actions carried out through the use of the relevant account.

Strado Group therefore strongly recommends that the User immediately change his or her password if there is any indication that someone has gained access to the account and that the User promptly contacts Strado Group.

11. Third-party websites

The Site may contain hyperlinks to other websites. When the User clicks on one of these links, he or she may be directed to another website or online resource that may intentionally, or through the use of cookies or other technologies, collect information about the User.

Strado Group assumes no responsibility, liability or control with respect to such third-party websites or online resources, nor with respect to their collection, use or disclosure of personal data.

Users are responsible for reviewing the privacy policies of such third-party websites and online resources in order to determine whether they comply with applicable privacy and data protection legislation.

12. Cookies

The Site uses cookies to distinguish Users from one another. This enables Strado Group to provide Users with a better browsing experience and to improve the Site and its content. The purposes and methods of cookies are described in this section.

a) General cookies

A "Cookie" is a file that is temporarily or permanently stored on the User's device when viewing the Site for the purpose of facilitating future connections. Thanks to Cookies, the server can recognise the User's device.

Cookies may also be placed by third parties with whom Strado Group collaborates.

Some of the Cookies used by Strado Group are necessary for the proper functioning of the Site, while others are intended to improve the User's experience.

The User may adjust or disable Cookies. By using the Site, the User expressly consents to the management of Cookies as described in this section.

b) Types of cookies and their purposes

Strado Group uses different types of cookies on the Site. These cookies can be divided into the following categories:

  • Category 1: Strictly necessary cookies
  • Category 2: Functional cookies
  • Category 3: Analytical cookies
  • Category 4: Performance cookies
  • Category 5: Advertising cookies
  • Category 6: Uncategorised cookies

Category 1: Strictly necessary cookies

These cookies are essential for the proper operation of the Site, its continuous improvement and the optimisation of the User experience.

These cookies ensure secure and optimal functioning of the Site and help Strado Group continuously improve it. They are not intended to identify a User and are not used for marketing purposes or for third-party purposes.

Strado Group uses functionally necessary cookies to enable Users to navigate the Site, use its functionalities, and remember choices and preferences made during previous visits (such as login credentials, language settings, etc.), so that Users do not have to re-enter these preferences each time they visit the Site.

Strado Group also uses cookies to detect and monitor errors on the Site. For example, cookies may be used to identify the type of browser used to access the Site, verify whether pages load correctly, and determine whether pages are accessible across different devices. Google Analytics is used to process such data.

These cookies are enabled by default and cannot be modified, as Strado Group would otherwise be unable to guarantee the best possible user experience and certain sections and/or functionalities of the Site may not function properly.

Category 2: Functional cookies

Functional cookies help perform certain functionalities, such as sharing Site content on social media platforms, collecting feedback and enabling other third-party features.

Category 3: Analytical cookies

Analytical cookies collect aggregated information about the use of the Site, such as the number of visitors, the most frequently visited web pages and the amount of time Users spend on specific pages. Based on this information, Strado Group can perform statistical analyses to improve the structure, navigation and content of the Site and enhance the User experience. Strado Group may also rely on third-party cookies for this purpose, such as Google Analytics.

These cookies also allow Strado Group to recognise returning Users. By analysing website usage, Strado Group can optimise the Site and better tailor it to Users' needs. The cookies collect encrypted information about the User, and the software used (e.g. Google Analytics) does not allow Strado Group to identify individual Users.

The information collected through these cookies is not used for marketing purposes or shared with third parties for their own purposes.

Strado Group requests the User's prior consent before placing these cookies. Users may refuse the placement of such cookies on their device by adjusting their cookie preferences. Information on managing cookie settings can be found under section d) below.

Category 4: Performance cookies

Performance cookies are used to understand and analyse key performance indicators of the Site, helping Strado Group provide a better user experience.

Category 5: Advertising cookies

Advertising cookies are used to provide Users with personalised advertisements based on previously visited pages and to analyse the effectiveness of advertising campaigns.

c) Retention period for cookies

Cookies are retained only for the period necessary to fulfil their intended purpose.

d) Cookie management

If the User does not want the Site to place cookies on his or her device, cookies can easily be managed or removed by adjusting browser settings. Users can also configure their browser to notify them whenever a website uses cookies, allowing them to decide whether to accept or reject them.

If the User disables certain cookies, the User acknowledges that the Site may not function optimally. Certain parts of the Site may become partially or entirely unavailable, and the User may need to re-enter usernames and passwords on websites visited.

13. Change of the Privacy Policy

Strado Group reserves the right to amend this Privacy Policy in order to comply with applicable legal obligations and requirements. Users are therefore advised to consult this Privacy Policy regularly in order to remain informed of any modifications or updates. Any such changes will be published on the Site and/or communicated by e-mail to ensure their enforceability.

14. Applicable law and competent court
